Terms of Service

These Terms govern access to and usage of the Review Automators software-as-a-service (SaaS) platform, APIs, automated review generation workflows, local search authority management, and press syndication networks. While Verybooked LTD is proudly incorporated and headquartered in the United Kingdom, our infrastructure and services are engineered to serve commercial clients worldwide, including enterprises operating across the United Kingdom, the European Union, the United States, Canada, Australia, Switzerland, and allied global markets.

Regardless of your geographic location, corporate residence, or where your customers reside, you agree that your contractual relationship with Verybooked LTD is governed exclusively by the laws of England and Wales. The courts of England and Wales situated in London shall possess exclusive jurisdiction over any dispute, controversy, or claim arising under or related to these Terms.

Review Automators delivers an enterprise-grade suite of automated reputation acceleration, local visibility enhancement, and corporate authority syndication services, comprising:

• Automated Review Solicitation: High-deliverability multi-channel SMS and email outreach engines that invite verified purchasers and recent clients to submit public customer reviews on designated review destinations.
• Google Business Profile Management: Comprehensive local optimization, map pack signal auditing, category synchronization, and continuous audit maintenance for business profiles on Google Maps and Local Search.
• The Local Authority System: An all-in-one productized solution integrating bespoke high-converting website architecture, automated multi-channel review acceleration, and Google Business Profile ranking infrastructure.
• Press Release Syndication: Wholesale corporate news syndication through the BrandStoryPresswire wire network, distributing verified business announcements across 700+ media outlets, financial terminals, search engine indices, and television network affiliates.

Verybooked LTD operates with uncompromising commitment to consumer transparency and digital advertising integrity. We rigorously adhere to all third-party platform rules and consumer protection statutes, including the Google Business Profile Terms of Service, Google Prohibited and Restricted Content policies, the Federal Trade Commission (FTC) Endorsement Guides (16 CFR Part 255), the FTC Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465), and the European Union Omnibus Directive (Directive 2019/2161).

Under these standards, the following practices are strictly prohibited on Review Automators and will trigger immediate account suspension without refund:

• Prohibition of Review Gating: We do not permit sentiment filtering, conditional routing, or 'review gating'. All review solicitation sequences must present an equal, neutral, and unrestricted pathway to public review platforms, regardless of whether customer sentiment is positive, neutral, or negative.
• Prohibition of Fake or Incentivized Reviews: Clients may not use our platform to purchase, fabricate, incentivize, or exchange gift cards, discounts, or cash for fake or incentivized reviews. Every review request must originate from a genuine transaction with a bona fide client or consumer.
• Third-Party Platform Independence: Third-party review platforms (including Google, Meta/Facebook, Trustpilot, and Yelp) operate autonomous moderation algorithms. Verybooked LTD does not own or control these platforms and cannot guarantee that third parties will publish, display, or retain any individual review.

The legal integrity of direct consumer messaging rests upon lawful consent. When you upload customer contact data (names, email addresses, mobile telephone numbers) into our software or connect a CRM/ERP integration, you represent, warrant, and covenant that:

• Lawful Acquisition & Valid Consent: All customer records were acquired lawfully through direct business dealings or express prior consent. You possess all required permissions to transmit automated SMS text messages and commercial emails to each recipient under applicable law.
• Statutory Regulatory Compliance: You strictly comply with all telecommunications, privacy, and direct marketing statutes in every jurisdiction where your recipients reside, including the UK Privacy and Electronic Communications Regulations (PECR), the UK General Data Protection Regulation (UK GDPR), the EU GDPR (Regulation (EU) 2016/679), the US Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), the US CAN-SPAM Act, and Canada's Anti-Spam Legislation (CASL).
• Mandatory Opt-Out Honoring: Our systems automatically process 'STOP', 'UNSUBSCRIBE', and equivalent carrier opt-out commands. You agree never to bypass, override, or re-solicit any recipient who has opted out of automated communications.
• Sole Data Controller Responsibility: As between Client and Verybooked LTD, Client acts as the sole Data Controller of all recipient contact lists. Verybooked LTD does not independently verify list consent and processes contacts strictly as a Data Processor pursuant to Client's operational instructions.

Access to Review Automators software services is provided on a recurring subscription basis. By enrolling, you authorize recurring debits via our certified third-party payment infrastructure.

• 10-Day Free Trial: All standard review automation SaaS subscriptions begin with an unrestricted 10-day evaluation trial. You may cancel your subscription at any moment within this 10-day evaluation window through your dashboard without incurring any recurring subscription charges.
• Payment Processing & Stripe: All transactions are executed through Stripe, a PCI-DSS Level 1 certified payment gateway. Verybooked LTD never stores raw payment card numbers or CVV codes on its servers.
• Recurring Renewal: Unless cancelled prior to the renewal date, month-to-month and annual subscription plans automatically renew at the prevailing published rate. Subscription fees are billed in advance on a recurring monthly or annual billing cycle.
• Frictionless Cancellation: You may cancel your subscription at any time directly through your billing portal or by emailing [email protected]. Cancellation takes effect at the conclusion of your current paid billing period.

In the event of contract cancellation, Verybooked LTD will never delete, obscure, or hold your reviews hostage.
• Company Proprietary Rights: Verybooked LTD, verybookedai.com, and its licensors retain exclusive ownership of all right, title, and interest (including patent, copyright, trademark, and trade secret rights) in and to the software platform, source code, user interface designs, automation workflows, proprietary algorithms, documentation, and the verybookedai.com operational ecosystem.

Our software interoperates with various third-party services, including Google Maps, Google Business Profile APIs, Meta Graph APIs, Trustpilot, Twilio telecommunication infrastructure, OpenAI LLM endpoints, and BrandStoryPresswire news wire networks. You acknowledge and accept that:

Verybooked LTD exercises no control over third-party terms of service, platform outages, carrier delivery filtering, API deprecations, or algorithmic modifications enacted by third-party technology giants. We provide integrations on an 'as-is' and 'as-available' basis without warranties regarding third-party uptime or API stability.

To the maximum extent permissible under applicable English law, Verybooked LTD, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including loss of profits, goodwill, business opportunities, data loss, or business interruption, arising out of or related to the use of or inability to use our services.

Verybooked LTD's total cumulative aggregate liability for all claims arising under or related to these Terms, whether sounding in contract, tort (including negligence), statutory duty, or otherwise, shall be strictly capped at the total amount actually paid by Client to Verybooked LTD during the three (3) months immediately preceding the event giving rise to liability.

Client agrees to defend, indemnify, and hold harmless Verybooked LTD, its affiliates, directors, officers, and employees against any third-party claims, government investigations, statutory enforcement actions, fines, or legal expenses (including reasonable solicitors' fees) arising from: (a) Client's violation of direct marketing, telemarketing, or spam statutes (e.g., PECR, TCPA, GDPR); (b) Client's failure to obtain lawful consent prior to uploading contact lists; or (c) deceptive or fraudulent review practices orchestrated by Client.

These Terms remain in force so long as you maintain an active account or use any Review Automators service. Either party may terminate month-to-month subscriptions at any time via written notice or self-service dashboard cancellation.

Verybooked LTD reserves the right to suspend or terminate service immediately without notice if you engage in fraudulent review solicitation, violate anti-gating regulations, transmit spam without consent, or fail to settle outstanding invoices when due. Upon termination, your right to access the software dashboard ceases, but your ownership of all generated reviews remains permanent and perpetual.

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales.

Prior to initiating formal court proceedings, both parties commit to engaging in good-faith informal negotiations for a minimum period of thirty (30) calendar days. If the dispute is not settled through informal negotiations, both parties irrevocably agree that the Courts of England and Wales sitting in London shall have exclusive jurisdiction to settle any dispute or claim.
